Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Soyy platform operated by Soyy ("we", "us", "our") at soyy.app. By creating an account or using the platform you agree to these Terms. If you do not agree, do not use the platform.

1. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use Soyy. By using the platform you represent that these conditions are met.

2. Accounts

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us immediately at hello@soyy.app if you suspect unauthorised access. We may suspend or terminate accounts that violate these Terms.

3. The Platform

Soyy is a peer-to-peer resale marketplace that enables sellers to list pre-owned items from participating brands and buyers to purchase them. Soyy is not a party to transactions between buyers and sellers — we provide the infrastructure, payment processing, and buyer protection framework.

4. Sellers

Listing requirements

  • Only list items from brands that participate in Soyy.
  • Describe and photograph items honestly. Condition, defects, and wear must be accurately represented.
  • You must own the item and have the right to sell it.
  • Counterfeit, stolen, or prohibited items must not be listed.

After a sale

  • Ship the item promptly using the prepaid label provided. Failure to ship may result in order cancellation and account suspension.
  • Your payout is held during the 48-hour buyer protection window after delivery. Payouts are released automatically once the window closes with no open dispute.

Fees

Soyy deducts a platform fee and a brand commission from each sale. The exact rates are shown during the listing flow before you submit. You receive the remaining amount as your payout.

5. Buyers

Purchases

All sales are final once the buyer protection window closes. You may not request a return or refund after this period except where required by applicable law.

Buyer protection

You have 48 hours after Soyy marks your order as delivered to open a dispute if the item is significantly not as described, damaged in transit, or not received. Disputes raised after this window will not be eligible for a refund.

Disputes

To open a dispute, go to My Purchases in your dashboard and click "Open dispute". Provide a reason and, where possible, photo evidence. Soyy will review the dispute and issue a decision. Our decision is final.

6. Prohibited Conduct

You may not:

  • List or sell counterfeit, stolen, or prohibited goods
  • Misrepresent the condition, authenticity, or provenance of any item
  • Manipulate reviews, ratings, or listing data
  • Use the platform to facilitate transactions outside of Soyy to avoid fees
  • Harass, threaten, or deceive other users
  • Attempt to gain unauthorised access to any part of the platform
  • Use automated tools to scrape or interact with the platform without permission

Violations may result in immediate suspension or permanent ban, at our sole discretion.

7. Intellectual Property

By uploading photos or content to Soyy you grant us a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute that content for the purpose of operating and promoting the platform. You retain ownership of your content.

All Soyy branding, design, and software are our property. You may not copy, modify, or distribute them without our written permission.

8. Limitation of Liability

To the maximum extent permitted by law, Soyy is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of profits, data, or goodwill.

Our total liability to you for any claim arising from these Terms or your use of the platform shall not exceed the amount you paid in fees to Soyy in the 12 months preceding the claim.

9. Disclaimer of Warranties

The platform is provided "as is" without warranties of any kind. We do not guarantee uninterrupted access, that listings are accurate, or that transactions will be completed successfully. We disclaim all warranties to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify and hold Soyy harmless from any claims, losses, damages, and costs (including legal fees) arising from your use of the platform, your listings or purchases, or your violation of these Terms.

11. Termination

We may suspend or terminate your account at any time if you violate these Terms or for any other reason at our sole discretion. You may close your account at any time by contacting hello@soyy.app. Termination does not affect obligations already incurred (e.g., an in-progress sale).

12. Governing Law

These Terms are governed by the laws of Thailand. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

13. Changes to These Terms

We may update these Terms from time to time. We will notify registered users by email of material changes at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
