Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Soyy platform operated by Soyy ("we", "us", "our") at soyy.app. By creating an account or using the platform you agree to these Terms. If you do not agree, do not use the platform.
1. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use Soyy. By using the platform you represent that these conditions are met.
2. Accounts
You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us immediately at hello@soyy.app if you suspect unauthorised access. We may suspend or terminate accounts that violate these Terms.
3. The Platform
Soyy is a peer-to-peer resale marketplace that enables sellers to list pre-owned items from participating brands and buyers to purchase them. Soyy is not a party to transactions between buyers and sellers — we provide the infrastructure, payment processing, and buyer protection framework.
4. Sellers
Listing requirements
- Only list items from brands that participate in Soyy.
- Describe and photograph items honestly. Condition, defects, and wear must be accurately represented. A minimum of three photos is required.
- You must own the item and have the right to sell it.
- Counterfeit, stolen, or prohibited items must not be listed.
- Your first listing on the platform is subject to manual review by the Soyy team before it goes live. Subsequent listings are approved automatically.
- Soyy may remove your listing at any time if it is found to violate these Terms, including following a report submitted by another user.
After a sale
- You are responsible for packaging the item and shipping it within 3 days of the sale, then submitting your tracking number through the link provided in your sale confirmation email. Depending on the listing, you will either ship the item directly to the buyer, or ship it to Soyy for authentication, after which Soyy will deliver it to the buyer. You bear the cost of shipping the item to its first destination — the buyer, or Soyy; where authentication is required, Soyy covers the onward delivery from Soyy to the buyer. Failure to ship within this window may result in order cancellation and account suspension.
- Your payout is held during the 48-hour buyer protection window after delivery. It is released automatically once the window closes with no open dispute.
- Shipping is domestic only. Soyy does not support cross-border transactions at this time.
- If a buyer opens a dispute and Soyy approves a refund, you will be notified by email. You then have two options: accept the return (the default if you do not respond), or offer a discount— proposing a lower final price to the buyer. If the buyer accepts your offer, the transaction closes at the new price, no return is required, and your payout is adjusted accordingly. If the buyer declines or does not respond within 3 days, the return proceeds automatically. Returned items are shipped back at Soyy's expense using a prepaid return label. You are responsible for re-listing the item if you wish to sell it again — it will not be automatically reinstated.
Fees and payout
For each completed sale, the proceeds are split as follows: you receive 80% of the sale price as your cash payout; Soyy retains 10% as a platform fee; and the participating brand receives 10% as commission.
At listing time you may choose a voucher payout instead of cash, provided the participating brand has enabled the voucher programme. Vouchers are issued at 110% of the equivalent cash value and are redeemable at the participating brand's store. Vouchers are single-use: you may redeem a voucher for less than its full face value, but any unused balance is forfeited at the time of redemption and the voucher cannot be reused. Your payout preference can be changed at any time before a buyer initiates checkout, after which it is locked. Vouchers expire between 30 and 365 days from the date of issue as set by the participating brand (default 60 days). The exact expiry date is stated on the voucher at the time of issue and cannot be extended.
5. Brands
Brand partners access Soyy through a separate brand account and agree to these Terms in addition to any brand partnership agreement in place.
Commission
Brands earn a 10% commission on every completed resale transaction processed through their Soyy-powered storefront or embed. Commission is calculated on the final sale price and is recorded in the brand's transaction dashboard.
Commission payouts
Commission is paid out manually by Soyy on the 5th of each calendar month for all transactions that settled (seller paid) before the first day of that month. Transactions settling within the current calendar month are included in the following month's payout. Payout is made via bank transfer to the details provided in the brand's account settings.
Voucher programme
Brands may opt into the Soyy voucher programme via their account settings. Once enabled, sellers listing on your storefront will be offered the option to receive a voucher payout instead of cash. To participate, brands must sign a voucher programme agreement with Soyy. Brands may disable the programme at any time; vouchers already issued remain valid and must still be honoured.
When a seller redeems a voucher at your store, you must accept it and provide goods or services up to the face value displayed on the voucher. Voucher redemptions are processed through the brand dashboard — brands must verify and mark each voucher as redeemed at the time of the seller's visit. Brands must not refuse a valid, unexpired Soyy-issued voucher.
For each redeemed voucher, Soyy will pay the brand the cash equivalent (80% of the original sale price — the underlying value before the 10% bonus) as part of the brand's regular monthly payout batch. This is in addition to the standard 10% commission earned on the underlying transaction. For example, on a ฿500 sale the brand receives ฿400 cash equivalent plus ฿50 commission = ฿450 total, while providing ฿440 in goods or services to the seller. Vouchers that are never redeemed do not result in a cash equivalent payment; the underlying value is retained by Soyy.
6. Buyers
Purchases
All sales are final once the buyer protection window closes. You may not request a return or refund after this period except where required by applicable law. Soyy currently supports domestic transactions only — buyers and sellers must be located in the same country.
Change of mind is not a valid reason for a return or refund. Soyy buyer protection exists to protect against genuine problems with the item or its delivery, not to provide a general right of return.
Authentication
For some listings — and wherever an authentication fee applies — items are routed through Soyy for authentication before they are delivered to the buyer. Authentication is a good-faith inspection to help confirm an item is genuine and as described. It is not an absolute guarantee of authenticity, and Soyy does not warrant that every item is genuine.
If an item fails authentication, the buyer receives a full refund, including the authentication fee, the item is returned to the seller at Soyy's expense — Soyy does not retain it — and the corresponding listing is suspended. Deliberate or repeated listing of counterfeit items may result in account suspension under Section 7 (Prohibited Conduct).
Because an item routed through Soyy is inspected and verified before it is delivered to you, an item that passes authentication is final sale. The buyer protection window does not apply to authenticated items, and no return or refund is available once the order is marked delivered, except where required by applicable law. The pre-delivery authentication is carried out on your behalf in place of a post-delivery inspection period.
Authentication fee
For transactions in the Thai market (priced in THB), an authentication fee helps us verify items and protect buyers against counterfeit or fraudulent listings. The fee is paid by the buyer, applies per item, and is shown at checkout. It is retained by Soyy to fund authentication and does not affect the seller's payout or the brand's commission.
- Items under ฿2,000: an optional ฿200 fee the buyer may choose to add at checkout.
- Items from ฿2,000 to ฿4,000: a ฿200 fee, included in the price shown.
- Items above ฿4,000: a fee of 5% of the item price, capped at ฿1,500, included in the price shown.
The authentication fee is non-refundableonce an order is placed — including where an item is subsequently returned or refunded — except where an item fails Soyy's authentication, in which case the fee is refunded to the buyer in full.
Buyer protection window
For standard marketplace items, you have 48 hours from when Soyy marks your order as delivered to open a dispute. After this window closes your payment is released to the seller and no refund can be issued.
The buyer protection window does not apply to items authenticated by Soyy or items sold directly by a brand. These are final sale: because the item has been verified by Soyy, or supplied as-is by the brand, before delivery, no return or refund is available once the order is marked delivered, except where required by applicable law.
What is eligible for a refund
You may open a dispute if:
- The item is materially not as described — it differs significantly from the listing photos, description, or stated condition in a way that would have affected your decision to buy
- The item was significantly damaged in transit beyond normal handling wear
- The item was not received and tracking confirms non-delivery
The following are not eligible for a refund:
- Change of mind or buyer's remorse
- Minor cosmetic differences consistent with the item's stated used condition (scratches, scuffs, or wear that a reasonable buyer would expect given the listed grade)
- Items that match their description but are not to your taste or do not fit
- Disputes raised after the 48-hour window has closed
- Items authenticated by Soyy or sold directly by a brand, which are final sale
How to open a dispute
Go to My Purchases in your dashboard and click "Open dispute" within the 48-hour window. Provide a clear written reason and photo evidence showing the issue. Disputes submitted without adequate evidence may be declined.
Refund process
Once a dispute is submitted, Soyy will review the evidence and issue a decision. If a refund is approved:
- The seller will be notified and given the opportunity to offer a discounted price as an alternative to a full return. If you receive a discount offer, you may accept or decline it. Accepting closes the dispute at the new price with no return required and a partial refund of the difference issued to you. If you decline or do not respond within 3 days, the return process proceeds.
- If a return is required, you will be asked to ship the item back to the seller. Soyy will provide a prepaid return shipping label at no cost to you. Once the courier confirms your return package has been dispatched, Soyy will process your full refund.
- In cases where the item is only partially not as described, Soyy may at its discretion issue a partial refund without requiring a return.
If the dispute is not upheld, the seller's payout is released and the transaction is closed. Soyy's decision on all disputes is final.
7. Prohibited Conduct
You may not:
- List or sell counterfeit, stolen, or prohibited goods
- Misrepresent the condition, authenticity, or provenance of any item
- Manipulate reviews, ratings, or listing data
- Use the platform to facilitate transactions outside of Soyy to avoid fees
- Harass, threaten, or deceive other users
- Attempt to gain unauthorised access to any part of the platform
- Use automated tools to scrape or interact with the platform without permission
- Submit false or bad-faith reports against other users' listings
Violations may result in immediate suspension or permanent ban, at our sole discretion.
8. Intellectual Property
By uploading photos or content to Soyy you grant us a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute that content for the purpose of operating and promoting the platform. You retain ownership of your content.
All Soyy branding, design, and software are our property. You may not copy, modify, or distribute them without our written permission.
9. Limitation of Liability
To the maximum extent permitted by law, Soyy is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of profits, data, or goodwill.
Our total liability to you for any claim arising from these Terms or your use of the platform shall not exceed the amount you paid in fees to Soyy in the 12 months preceding the claim.
10. Disclaimer of Warranties
The platform is provided "as is" without warranties of any kind. We do not guarantee uninterrupted access, that listings are accurate, or that transactions will be completed successfully. We disclaim all warranties to the fullest extent permitted by law.
11. Indemnification
You agree to indemnify and hold Soyy harmless from any claims, losses, damages, and costs (including legal fees) arising from your use of the platform, your listings or purchases, or your violation of these Terms.
12. Termination
We may suspend or terminate your account at any time if you violate these Terms or for any other reason at our sole discretion. You may close your account at any time by contacting hello@soyy.app. Termination does not affect obligations already incurred (e.g., an in-progress sale).
13. Governing Law
These Terms are governed by the laws of Thailand. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.
14. Changes to These Terms
We may update these Terms from time to time. We will notify registered users by email of material changes at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
